Terms and Conditions for InvoiceRapid

InvoiceRapid ("us", "we", or "our") operates the website https://invoicerapid.com (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Access and Description of the Service

  • Access to InvoiceRapid’s software is granted to the user upon an annual subscription, providing access to the product for one year. InvoiceRapid simplifies your indirect tax workflow by automatically calculating VAT and Sales Tax for your transactions and generating the corresponding VAT and Sales Tax return reports in CSV format. InvoiceRapid monitors your VAT and Sales Tax exposure in the EU, UK, and US by tracking your current and previous sales against the different thresholds that determine your obligation to file and remit VAT or Sales Tax. As soon as a threshold is reached, a notification is sent to you with all relevant information. InvoiceRapid also sends reminders for VAT and Sales Tax filing deadlines. Moreover, InvoiceRapid automatically generates self-serve invoices for your transactions, shareable with your customers via links, so your clients can easily manage and download their invoices themselves, reducing the need for your support. The Standard plan of InvoiceRapid handles up to 25,000 transactions annually. Any sale, partial refund, or full refund is recorded as a transaction.     InvoiceRapid is designed for SaaS (Software as a Service) and AI businesses and supports both B2C and B2B transactions, but it is not intended for B2G (business to government) or B2A (business to administration) transactions. So, InvoiceRapid is designed for companies whose products are delivered and accessed online rather than installed locally on a user’s device. In this model, the software is hosted and maintained by the provider, and customers access it over the internet, typically through a web browser.
    Payments must be processed through Stripe in order to use InvoiceRapid and let us to generate the invoices for your customers. InvoiceRapid supports the creation of Checkout Sessions through both the Stripe SDK and Stripe API, as well as Payment Links for one-time purchases and subscriptions, for know how to setup read the Documentation. InvoiceRapid permit to connect only one Stripe account.
    InvoiceRapid calculates VAT for transactions where the customer is in EU countries (Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, and Sweden) or the UK, and calculates Sales Tax for transactions where the customer is in US state. InvoiceRapid also provides you with EU VAT, UK VAT and US state Sales Tax CSV report to help you manage tax and generate invoices for your customers. It is your responsibility to register for and collect EU VAT, UK VAT, and US state sales tax, and to remit the appropriate taxes to the relevant jurisdictions in each EU country, the UK, and each US state, as well as complete all required tax filings.
    InvoiceRapid automatically computes VAT, Sales Tax and generates invoices for transactions, but not instantly. It may take up to 3 days to generate an invoice, depending on data verification and external service availability. Typically, invoices are generated within one minute, but in some cases, the process can take up to 3 days.
    Stripe Tax and Stripe Invoicing are not required to use InvoiceRapid.
    InvoiceRapid securely integrates with Stripe using Restricted Stripe API Keys and Stripe Webhooks.
    At the moment, InvoiceRapid does not support generating invoices for transactions that occurred before the user subscribed to the annual subscription.
    InvoiceRapid does not allow editing an invoice after it has been generated. If an invoice was generated by mistake or if a refund is required, you need to issue the refund through Stripe, and InvoiceRapid will automatically create a refund invoice (credit note). If the billing information (such as the address or Tax ID and so on) is incorrect, an email must be sent to support@invoicerapid.com by the owner of the InvoiceRapid account using the email address associated with their registration. The email should include the invoice ID to be modified and all the details that need to be corrected.
    Customers can view and download only the invoices related to their successful payments. To access these invoices, customers must first verify their email address.

2. No Warranty / Limitation of Liability

  • The use of InvoiceRapid is entirely at your own risk. We assume no warranty or liability whatsoever. We assume absolutely no liability for any damages of any kind, whether direct or indirect, material or immaterial. We provide no warranty regarding the accuracy of VAT and Sales Tax calculations. InvoiceRapid does not file or remit VAT or Sales Tax for you. It is your responsibility to register for and collect VAT and Sales Tax, and to remit the appropriate taxes to the relevant jurisdictions, as well as complete all required tax filings. InvoiceRapid is not a certified tax advisors.

3. Subscription and Payment

  • Our Service is offered as an annual subscription that automatically renews at the start of each billing cycle unless cancelled prior to renewal. You authorize us (via our payment provider, Lemon Squeezy) to charge your payment method automatically on each year until you cancel. Pricing is subject to change at any time at our sole discretion. Any changes will be communicated to you in advance. Continued use of the Service after price changes constitutes your acceptance of the new terms. You are responsible for ensuring that your payment details remain accurate and up to date.

  • All content and software used in the Service is owned by or licensed to us. You may not copy, reproduce, distribute, modify, or create derivative works without explicit written permission.

7. Service Availability

  • We aim for high availability, but we do not guarantee permanent availability of the software. Maintenance, changes, restrictions, or shutdowns may occur at any time, including without prior notice. There is no entitlement to a specific availability or accessibility.

  • We may suspend or terminate your account if you violate these Terms or applicable laws.

9. User Data

By using the Service, you agree that we may collect and process certain personal data necessary to provide and operate the service, as described in our Privacy Policy. This includes:
  • Your email address.
  • Stripe invoice data from your connected Stripe account, including:
    1. Buyer billing address.
    2. Seller billing address.
    3. Seller Country.
    4. Buyer Country.
    5. Transaction type.
    6. Transaction amount and currency.
    7. Timestamps and metadata required for invoice generation.
  • Subscription and payment information related to your account, as processed through our payment processor Lemon Squeezy.
  • We do not collect or store full credit card numbers or payment credentials. You retain ownership of your data, but you grant us the limited rights required to access and use this data solely for the purpose of delivering the Service. Your data is processed in accordance with applicable laws, including the GDPR, and further details can be found in Privacy Policy.

10. Third-Party Services

    Our Service relies on certain third-party providers to operate key features:
  • Stripe - Used solely to retrieve and display invoice-related data from your connected Stripe account. We only access the invoice metadata you authorize us to retrieve.
  • Lemon Squeezy – Handles payment processing for InvoiceRapid subscription.
  • Firebase Authentication – Used for secure user login.
  • Amazon Web Services (AWS) – Provides backend computing, database infrastructure, AI infrastructure and email server.
  • Cloudflare – Used for DNS, Content Delivery Network (CDN) and Object Storage.
  • Vercel – Used for hosting.
  • Plausible – Used for analytics.
  • We are not responsible for the actions, data handling, or availability of these third-party services. Your use of their features may also be subject to their own terms and privacy policies.

11. Updates to Terms

Users will be notified of any updates to these Terms via email or dashboard pop-up message. The “Last Updated” date at the top will reflect the latest version.
